Management

The company's management is responsible for a proper business organization. This includes an appropriate control system and it has to make the decision on the compliance organization (corporate governance).

Business Judgement Rule

The company's management is in principle liable according to the principle of the business judgment rule, i.e. the management acts on an informed basis, in good faith and in the honest belief that the action taken is in the best interests of the company.

For ensuring the right business judgement various measures can contribute in individual cases, such as a proper structure and process organization, or through counseling. In a further consultation basics are taken into account, e.g. in the selection of the consultant as well as the plausibility test of concrete consultancy.
